ACCEPTANCE OF TERMS

The services that nubill corporation provides to you are subject to the following Terms of Use ("TOU"). nubill corporation reserves the right to update the TOU at any time without notice to you. DESCRIPTION OF SERVICES

Through its web sites, nubill corporation provides you with access to a variety of resources. Publicly available pages include service descriptions, white papers, case studies, client testimonials, and other similarly related marketing collateral. The nubill customer web portal includes technical documentation, knowledgebase access, download areas, system integration tools and tips, customer discussion forums, more detail product and service information, to name just a few resources. All pages and resources found between publicly available pages on nubill's web sites and nubill's customer web portal collectively represent nubill's "Services" on these sites. The Services, including any updates, enhancements, new features, and/or the addition of any new web sites, are subject to the TOU.

Any software, scripts, or documentation for the same that is made available to download from the Services ("Software") is the copyrighted work of nubill corporation and/or its suppliers. Use of the Software is governed by the terms of the end user service agreement, if any, which accompanies or is included with the Software ("Service Agreement"). An end user will be unable to install any Software that is accompanied by or includes a Service Agreement, unless he or she first agrees to the Service Agreement terms.

The Software is made available for download solely for use by end users according to the Service Agreement. Any reproduction or redistribution of the Software not in accordance with the Service Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE SERVICE AGREEMENT. EXCEPT AS WARRANTED IN THE SERVICE AGREEMENT, NUBILL CORPORATION HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

FOR YOUR CONVENIENCE, NUBILL CORPORATION MAY MAKE AVAILABLE AS PART OF THE SERVICES OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE AND/OR DOWNLOAD. NUBILL CORPORATION DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND UTILITIES.
